CERTIFICATE OF ADOPTION OF BYLAWS

 

 

ARTICLE I, NAME

1.01 Name

 

The name of this non-profit corporation shall be Spirit Night Coven. The business of the corporation may be conducted as Spirit Night Coven.

ARTICLE II, DEFINITIONS AND HIERARCHY OF CLERGY,

PURPOSES AND POWERS

 

2.01 Definitions and Hierarchy of Clergy

(a) High Priestess: a female who shall be the first co-leader of Spirit Night Coven and resides on the Ministry of Magick. The High Priestess of Spirit Night Coven shall be Katharine L. Hossner perpetually. 

 

(b) High Priest: a male who shall be the second co-leader of Spirit Night Coven and resides on the Ministry of Magick. The High Priest of Spirit Night Coven shall be Jacob F. Trotter-Connors perpetually.

 

(c) Arch-Priest(ess): an individual appointed by the High Priestess and High Priest to fulfill  "president" duties on the Ministry of Magick. This position remains open until filled.

 

(d) Demi-Priest(ess): an individual appointed by the High Priestess and High Priest to fulfill "vice-president" duties on the Ministry of Magick. This position remains open until filled.

 

(e) Scribe: an individual appointed by the High Priestess and High Priest to fulfill "secretary" duties on the Ministry of Magick. This position remains open until filled.

 

(f) Treasurer: an individual appointed by the High Priestess and High Priest to fulfill "treasurer" duties on the Ministry of Magick. This position is filled by Katharine L. Hossner.

 

(g) Mage: an individual appointed by the High Priestess and High Priest to fulfill general Ministry duties on the Ministry of Magick. Five positions remain open until filled.

 

 

2.02 Purpose

 

Spirit Night Coven is a non-profit corporation and shall be operated exclusively for educational and charitable purposes within the meaning of Section 501 (c)(3) of the Internal Revenue Code of 1986, or the corresponding section of any future Federal tax code.

 

The purpose of Spirit Night Coven is to foster spiritual connections, shared values, and spiritual development between members in regards to Wicca and Witchcraft based off the three-fold law and Principles set forth in Exhibit "A" and "B."

 

2.03 Powers

 

Spirit Night Coven shall have the power, directly or indirectly, alone or in conjunction or cooperation with others, to do any and all lawful acts which may be necessary or convenient to affect the charitable purposes, for which Spirit Night Coven is organized, and to aid or assist other organizations or persons whose activities further accomplish, foster, or attain such purposes. The powers of Spirit Night Coven may include, but not be limited to, the acceptance of contributions from the public and private sectors, whether financial or in-kind contributions. 

 

2.04 Nonprofit Status and Exempt Activities Limitation

 

(a) Nonprofit Legal Status. Spirit Night Coven is a Washington non-profit public benefit corporation, recognized as tax exempt under section 501(c)(3) of the United States Internal Revenue Code.

 

(b) Exempt Activities Limitation. Notwithstanding any other provision of theses Bylaws, no mage, high priestess, high priest, employee, member, or representative of this corporation shall take any action or carry on any activity by or on behalf of Spirit Night Coven not permitted to be taken or carried on by an organization exempt under Section 501(c)(3) of the Internal Revenue Code as it now exists or may be amended, or by any organization contributions to which are deductible under Section 170(c)(2) of such Code and Regulations as it now exists or may be amended. No part of the net earnings of Spirit Night Coven shall inure to the benefit or be distributable to any mage, high priestess, high priest, member, or other private person, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the Articles of Incorporation and these Bylaws.

 

(c) Distribution Upon Dissolution. Upon termination or dissolution of Spirit Night Coven, any assets lawfully available for distribution shall be distributed to one (1) or more qualifying organizations described in Section 501(c)(3) of the 1986 Internal Revenue Code (or described in any corresponding provision of any successor statute) which organization or organizations have a charitable purpose which, at least generally, includes a purpose similar to the terminating or dissolving corporation.

 

            The organization to receive the assets of Spirit Night Coven hereunder shall be selected    in the discretion of a majority of the managing body of the corporation, and if its      members cannot so agree, then the recipient organization shall be selected pursuant to a            verified petition in equity filed in a court of proper jurisdiction against Spirit Night Coven, by one (1) or more of its managing body which verified petition shall contain such        statements as reasonably indicate the applicability of this section. The court upon finding that this section is applicable shall select the qualifying organization or organizations to            receive the assets to be distributed, giving preference if practicable to organizations             located within the State of Washington.

 

            In the event the court shall find that this section is applicable but that there is no qualifying organization known to it which has a charitable purpose, which, at least     generally, includes a purpose similar to Spirit Night Coven, then the court shall direct the distribution of its assets lawfully available for distribution to the Treasurer of the State of      Washington to be added to the general fund.

 

ARTICLE III, MEMBERSHIP

 

3.01 Membership

Any person who gives spiritual evidence of the path of Wicca and/or Witchcraft, subscribes to the Principles of Beliefs drafted by the American Council of Witches as set forth in the attached Exhibit "A," and adheres to Spirit Night Coven's Guidelines and Principles as set forth in the attached Exhibit "B" may be a member of Spirit Night Coven. However, Spirit Night Coven's Ministry of Magick reserves the right to decline involvement and participation to any persons for any reason.

 

3.02 Membership Classes

 

Spirit Night Coven shall have eight membership classes based on longevity and completion of duties set forth by the Council of Magick and High Priestess and Priest. All membership classes shall adhere to the Coven's Articles of Belief: (1) Principles of Beliefs drafted by the American Council of Witches; (2) adheres to Spirit Night Coven's Guidelines and Principles as determined by the Council of Magick and (3) the Coven's Basic Beliefs. All membership classes shall have access to the Coven's online resources portal through the Coven's website. The eight membership classes shall be as follows:

 

(a) Online Access Only / Friend of the Coven: A member who has access to our online resources   and can participate in virtual / recorded workshops/classes/trainings. 

(b) Prospective Member / Trial Run: A Prospective Member / Trial Run is someone who's  interested in joining the Coven in person, has applied through the Coven's website, and      has undergone initial discussions with the High Priestess. They will be invited to a Sabbat ritual and can decide after if they would like to proceed into becoming an Outer Circle     Member. Note that the Council of Magick ultimately decides if a Prospective Member may transition to the Outer Circle and reserves the right to decline any prospective           member full admission into the Coven.

(c) Outer Circle Witch: An Outer Circle member is someone who has given spiritual evidence of    the path of Wicca and/or Witchcraft, come to most Sabbats + Rituals with offerings of food or libations, practice solitarily, and are fluid in their spirituality practices. They like the community aspect of having a Coven but prefer following their own path and traditions, which is acceptable and valid. They are trusted members who remain in good-standing.

(d) Dedicated Witch / Covenship Member: A dedicated witch / Covenship member is someone who has dedicated themselves to Spirit Night Coven and has applied for the Covenship Program. They have expressed serious interest in furthering their studies and role within the Coven. They have proven to be a good candidate. They are beginning their first year of studies in order to become a First Degree Witch / Initiate.

 

(e) First Degree Witch / Initiate: a member who has completed their first year of Covenship, has been a member for one (1) year and a day, has completed the Covenship Final Exam (see Covenship Final Exam set forth in the attached Exhibit "B"), all of which is determined by the Council of Magick. They can participate in Esbats.

 

(f) Second Degree Witch / The Inner Circle: a member who has completed their second year of Covenship, has been a member for two (2) years and a day, and has completed all prior studies. They can assist in ceremonies and rituals and participate in Esbats.

 

(g) Third Degree Witch / The Mentor: a member who has completed their third year of Covenship, has been a member for three (3) years and a day, and has completed all prior studies. They can assist in ceremonies and rituals, participate in Esbats, take on a newer member for mentorship, and host workshops/classes/trainings or special events within the Coven.

 

(h) Coven Elder: a member who has completed their fourth year of Covenship, has been a member for four (4) years and a day, and has completed all prior studies. They are held in high respect and can perform ceremonies and rituals, participate in Esbats, be a mentor and/or resource to any member, host workshops/classes/trainings in the Coven, granted ordination to officiate handfasting rites, weddings, funerals, baby blessings, and more. They are the only member who can apply to be on the Ministry of Magick.

 

3.03 Governance

 

Spirit Night Coven shall be a state identified church that is High Priestess and High Priest-led and subject to the recommendations of the Ministry of Magick as described herein. The Ministry of Magick of Spirit Night Coven shall act as the governing authority by providing spiritual guidance, setting its major policies, and courses.

 

The High Priestess of Spirit Night Coven shall act jointly with the High Priest and Ministry of Magick in setting policies; providing spiritual guidance and counseling to Covenship applicants members, the media, and general public; create, approve, and execute courses, trainings, and workshops; and perform core rituals in exception of Coven Elders. The High Priestess and High Priest may individually or collectively override policies and decisions made by the Ministery of Magick.

 

The High Priest of Spirit Night Coven shall act jointly with the High Priestess and Ministry of Magick in setting policies; providing spiritual guidance and counseling to Covenship applicants members, the media, and general public; create, approve, and execute courses, trainings, and workshops; and perform core rituals in exception of Coven Elders. The High Priestess and High Priest may individually or collectively override policies and decisions made by the Ministery of Magick.

 

3.04 Non-Voting Affiliates

 

The Ministry of Magick may approve classes of non-voting affiliates with rights, privileges, and obligations established by the council. Affiliates may be individuals, businesses, and other organizations that seek to support the mission of Spirit Night Coven. The council, a designated committee of the council, or any duly elected officer in accordance with council policy, shall have authority to admit any individual or organization as an affiliate, to recognize representatives of affiliates, and to make determinations as to affiliates' rights, privileges, and obligations. At no time shall affiliate information be shared with or sold to other organizations or groups without the affiliate's consent. At the discretion of the Ministry of Magick, affiliates may be given endorsement, recognition and media coverage at fundraising activities, clinics, other events or at the corporation website. Affiliates have no voting rights, and are not members of Spirit Night Coven.

 

3.05 Dues

 

Any dues for affiliates shall be determined by the Ministry of Magick.

 

ARTICLE IV, COVENSHIP

 

4.01 Purpose

 

Covenship is Spirit Night Coven's core educational program for members who want to attain core knowledge, guidance, and direction about Wicca and Witchcraft and advance in hierarchy within the Coven (see Article III, Section 3.02).  Upon the completion of Covenship an Outer Circle member shall be recognized as a First Degree Witch therein, and so on through ranking.

 

4.02 Guidelines

 

(a) Members who wish to be enrolled in Covenship must fill out a Covenship Application Form as set forth in attachment Exhibit "D." Each Covenship Application is reviewed by the Ministry of Magick and either approved or denied with cause or no cause. Notice of approval or denial will be made in writing to the applicant. Accepted Covenship applicants must submit a one time payment of USD $50.00 to Spirit Night Coven via paypal (@spiritnightcoven) or venmo (@spiritnightcoven).

 

(b) Covenship will serve as the necessary training and education to become a First Degree Witch, Second Degree Witch, Third Degree Witch, Coven Elder, Member of the Ministry of Magick, High Priestess, and High Priest in Spirit Night Coven.

 

(c) Covenship consists but is not limited to, the history of Wicca and Witchcraft, terminology and definitions of Wicca and Witchcraft, procedures to write and execute spells and rituals, introductions to Wicca and Witchcraft related practices (e.g., Herbology, Necromancy, Cartomancy), guidance on how to practice magick ethically, and information pertaining to the on-going practice of Wicca and Witchcraft as a religion.

 

(d) Covenship is a one (1) year and one (1) day program. At the end of the program, said member must complete and score an 80% or better on the Covenship Final Exam as set forth in Exhibit "C." If said member scores below an 80% said member will have to wait (7) days to retake Final Exam.

 

(e) Covenship requires applicant to obtain necessary reading materials, commitment and completion of homework, adherence to course guidelines, participation in Spirit Night Coven's Sabbat rituals, and desire to gain core knowledge about Wicca and Witchcraft. Applicant must purchase their own supplies (e.g. Notebooks to be used as Book of Shadows and Grimoires, writing tools). 

 

4.03 Removal of Covenship Applicant

 

An applicant will be removed from the Covenship program if they:

 

(a) do not adhere to the guidelines of Article IV, Section 4.02, or

 

(b) do not adhere to the Principles of Beliefs by American Council of Witches, or

 

(c) do not adhere to Spirit Night Coven's Guidelines and Principles, or

 

(d) have two or more unexcused absences from Sabbats, or

 

(e) display discrimination, or

 

(f) do not turn in necessary homework on more than two occasions, or

 

(g) for cause or no cause as determined by the High Priestess, High Priest, and/or Council of Magick.

 

4.04 Donation of Supplies to Covenship Applicants

 

If an applicant of Covenship is unable to purchase or acquire necessary materials needed to complete Covenship, it is advised they shall seek donations from Spirit Night Coven if donations and/or donation funds are available. If donations and/or donation funds are not available, it is required of said applicant to seek materials elsewhere.

 

(a) Spirit Night Coven shall not be obligated or required to provide Covenship applicants with any materials, supplies, and/or means to complete Covenship or to be a member of Spirit Night Coven.

 

 

ARTICLE V, MINISTRY OF MAGICK

(BOARD OF DIRECTORS)

 

5.01 Function

 

Spirit Night Coven shall have a Ministry of Magick (who may also be known as the "Board of Directors" or "Ministry" or "Mage" or "Mages" or "Ministry Witch(es)('s)(es') or "Board" or "the Board"). The Ministry of Magick shall provide spiritual guidance and shall manage the affairs of the corporation with approval of the High Priestess and High Priest. The president shall be known as "Arch-Priest(ess)," the Vice President shall be known as "Demi-Priest(ess)," the Secretary shall be known as "Scribe," and there shall be five positions known simply as "Ministry Mages," "Ministry Mage," or "Mage."

 

5.02 Powers

 

All corporate powers shall be exercised by or under the authority of the High Priestess and High Priest and the affairs of Spirit Night Coven shall be managed under the direction of the Ministry of Magick, High Priestess, and High Priest except as otherwise provided by law. The High Priestess and High Priest shall preside over all policies and decisions so long as the issue at hand does not involve a conflict of interest for the High Priestess or High Priest.

 

5.03 Terms

 

(a) All Ministry of Magick positions shall be appointed jointly by the High Priestess and High Priest.

 

(b) A Ministry of Magick Witch terms shall be determined by the High Priestess and High Priest.

 

(c) A Ministry of Magick Witch's individual duties shall be determined by the High Priestess and High Priest.

 

(d) A Ministry of Magick Witch shall remain in office indefinitely with said member's explicit consent and desire to remain in office, or if there is a majority vote to remove said member by the rest of the Ministry of Magick with a vote of 40%-60%, or if the said member wishes to discontinue service.

 

(e) A Ministry of Magick Witch may serve perpetual terms of office if so desired by said member and with the approval of the High Priestess and High Priest.

 

5.04 Qualifications and Appointment of Mages

 

In order to be eligible to serve as a Witch on the Ministry of Magick, the individual must be 18 years of age, pass a background check, and an affiliate within affiliate classifications created by the High Priestess and High Priest. The High Priestess and High Priest shall appoint persons whom they deem qualified to serve on the Ministry of Magick.

 

5.05 Vacancies

 

The High Priestess and High Priest may fill vacancies due to the expiration of a Ministry of Magick Witch's term of office, resignation, death, or removal of a mage or may appoint a new Witch to fill a previously unfilled Ministry position, subject to the maximum number of Ministry of Magick Witch's under these Bylaws.

 

(a) Unexpected Vacancies. Vacancies in the Ministry of Magick due to resignation, death, or removal shall be filled by the High Priestess and/or Hight Priest for the balance of the term of the mage being replaced.

 

5.06 Removal of Ministry of Magick Witch's

 

A Ministry of Magick Witch may be removed by a 40%-60% vote of the Ministry of Magick then in office with the approval of the High Priestess and High Priest, if:

 

(a) the Ministry of Magick Witch is absent and unexcused from two or more meetings of the Ministry of Magick in a twelve month period. The Ministry's Arch-Priest(ess) is empowered to excuse Ministry Witches from attendance for a reason deemed adequate by the Ministry's Arch-Priest(ess). The Arch-Priest(ess) shall not have the power to excuse him/herself from the board meeting attendance and in that case, the Ministry Demi-Priest(ess), High Priestess, or High Priest shall excuse the Arch-Priest(ess) Or:

 

(b) for cause or no cause, if before any meeting of the Ministry of Magick at which a vote on removal will be made the mage in question is given electronic or written notification of the council's intention to discuss her/his case and is given the opportunity to be heard at a meeting of the board.

 

5.07 Ministry of Magick Meetings

 

(a) Regular Meetings. The Ministry shall have a minimum of four (4) regular meetings each calendar year at times and places fixed by the Ministry. Ministry meetings shall be held upon four (4) days notice by first-class mail, electronic mail, or facsimile transmission, or forty-eight (48) hours notice delivered personally or by telephone. If sent by mail facsimile transmission, or electronic mail, the notice shall be deemed to be delivered upon its deposit in the mail or transmission system. Notice of meetings shall specify the place, day, and hour of meeting. The purpose of the meeting need not be specified.

 

(b) Special Meetings. Special meetings of the Ministry may be called by any Witch actively sitting on the Ministry of Magick. A special meeting must be preceded by at least 2 days notice to each Ministry Witch of the date, time, and place, but not the purpose, of the meeting,

 

(c) Waiver of Notice. Any Ministry of Magick Witch may waive notice of any meeting, in accordance with Washington law.

 

5.08 Manner of Acting

 

(a) Quorum. A majority of the Ministry Witch's in office immediately before a meeting shall constitute a quorum for the transaction of business at that meeting of the Ministry. No business shall be considered by the Ministry at any meeting at which a quorum is not present.

 

(b) Majority Vote. Except as otherwise required by law or by the articles of incorporation, the act of the majority of the Ministry Witch's present at a meeting at which a quorum is present shall be the ace of the Ministry.

 

(c) Hung Ministry Decisions. On the occasion that Witches of the Ministry are unable to make a decision based on a tied number of votes, the Arch-Priestess or Treasurer in the order of presence shall have the power to swing the vote based on his/her discretion.

 

(d) Participation. Except as required otherwise by law, the Articles of Incorporation, or these Bylaws, Ministry Witches may participate in a regular or special meeting through the use of any means of communication by which all mages participating may simultaneously hear each other during the meeting, including in person, internet video meeting or by telephonic conference call.

 

5.09 Clergy and Hierarchy of the Ministry of Magick

5.10 Compensation for Ministry of Magick Witch Services

 

Ministry Witches shall receive no compensation for carrying out their duties. The Ministry may adopt policies providing for reasonable reimbursement of Ministry Witches for expenses incurred in conjunction with carrying out Ministry responsibilities, such as travel expenses to attend Ministry meetings.

 

5.11 Compensation for Professional Services by Mages

 

Mages are not restricted from being remunerated for professional services provided to Spirit Night Coven. Such remuneration shall be reasonable and fair to the corporation and must be reviewed and approved in accordance with the Ministry's Conflict of Interest policy and state law.

 

ARTICLE VI, COMMITTEES

 

6.01 Committees

 

The Ministry of Magick may, by the resolution adopted by a majority of the mages then in office, designate one or more committees, each consisting of two or more mages, to serve at the pleasure of the Ministry. Any committee, to the extent provided in the resolution of the Ministry, shall have all the authority of the Ministry, except that no committee, regardless of Ministry resolution, may:

 

(a) take any final action on matters which also requires Ministry Witch's approval or approval of a majority of all Ministry Witches;

 

(b) fill vacancies on the Ministry of Magick of in any committee which has the authority of the Ministry;

 

(c) amend or repeal Bylaws or adopt new Bylaws;

 

(d) amend or repeal any resolution of the Ministry of Magick which by its express terms is not so amendable or repealable;

 

(e) appoint any other committees of the Ministry of Magick or the members of these committees;

 

(f) expend corporate funds to support a nominee for mage or

 

(g) approve any transaction;

 

(i) to which Spirit Night Coven is a party and one or more mages have a material financial interest; or

 

(ii) between Spirit Night Coven and one or more of its mages or between Spirit Night Coven or any person in which one or more of its mages have a material financial interest.

 

·      Meetings and Action of Committees

Meetings and action of the committees shall be governed by and held and taken in accordance with, the provisions of Article IV of these Bylaws concerning meetings of the mages, with such changes in the context of those Bylaws as are necessary to substitute the committee and its members for the Ministry of Magick and its members, except that the time for regular meetings of committees may be determined either by resolution of the Ministry of Magick or by resolution of the committee. Special meetings of the committee may also be called by resolution of the Ministry of Magick. Notice of special meetings of committees shall also be given to any and all alternate members, who shall have the right to attend all meetings of the committee. Minutes shall be kept of each meeting of any committee and shall be filed with the corporate records. The Ministry of Magick may adopt rules for the governing of the committee not inconsistent with the provision of these Bylaws.

 

·      Informal Action by the Ministry of Magick

Any action required or permitted to be taken by the Ministry of Magick at a meeting may be taken without a meeting if consent in writing, setting forth the action so taken, shall be agreed by the consensus of a quorum. For purposes of this section an e-mail transmission from an e-mail address on record constitutes a valid writing. The intent of this provision is to allow the Ministry of Magick to use email to approve actions, as long as a quorum of Ministry members gives consent.

 

ARTICLE VII, OFFICERS

 

7.01 Ministry of Magick Officers

 

The officers of the corporation shall be a Ministry Arch-Priest(ess), Demi-Priest(ess), Scribe, and (5) Mages, all of whom shall be chosen by the High Priestess and High Priest, and serve at the pleasure of, the Ministry of Magick, High Priestess and High Priest. Each Ministry officer shall have the authority and shall perform the duties set forth in these Bylaws or by resolution of the council or by direction of an officer authorized by the board to prescribe the duties and authority of other officers. The board may also appoint additional Mages and such other officers as it deems expedient for the proper conduct of the business of Spirit Night Coven, each of whom shall have such authority and shall perform such duties as the Ministry of Magick may determine. One person may hold two or more Ministry offices, but no Ministry officer may act in more than one capacity where action of two or more officers is required.

 

7.02 Term of Office

 

Each officer may serve indefinitely.

 

7.03 Removal and Resignation

 

The High Priestess, and/or High Priest may remove an officer at any time, with or without cause. Any officer may resign at any time by giving written notice to Spirit Night Coven without prejudice to the rights, if any, of Spirit Night Coven under any contract to which the officer is a party. Any resignation shall take effect at the date of the receipt of the notice or at any later time specified in the notice, unless otherwise specified in the notice. The acceptance of the resignation shall not be necessary to make it effective.

 

7.04 Arch-Priest(ess)

 

The Arch-Priest(ess) shall be the chief volunteer officer of Spirit Night Coven under the High Priestess and High Priest. The Arch-Priest(ess) shall lead the Ministryof Magick in performing its duties and responsibilities, including, if present, presiding at all meetings of the Ministry of Magick, and shall perform all other duties incident to the office or properly required by the Ministry of Magick.

 

7.05 Demi-Priest(ess)

 

In the absence or disability of the Arch-Priest(ess), the ranking Demi-Priest(ess) or Demi-Priest(ess) designated by the Ministry, High Priestess, and/or High Priest shall perform the duties of the Arch-Priest(ess). When so action, the demi-mage shall have all the powers of and subject to all the restrictions upon the Arch-Priest(ess). The Demi-Priest(ess) shall normally accede to the office of Ministry Arch-Priest(ess) upon the end of the Ministry Arch-Priest(ess)'s  term of office.

 

7.06 Scribe

 

The Scribe shall keep or cause to be kept a book of minutes of all meetings and actions of Mages and committees of Mages. The minutes of each meeting shall state the time and place that it was held and such other information as shall be necessary to determine the actions taken and whether the meeting was held in accordance with the law and these Bylaws. The Scribe shall cause notice to be given of all meetings of mages and committees as required by the Bylaws. The Scribe may appoint, with approval of the Ministry, a Mage to assist in performance of all or part of the duties of the scribe.

 

7.07 Treasurer

 

The Treasurer shall be the lead Mage for oversight of the financial condition and affairs of Spirit Night Coven. The treasurer shall oversee and keep the Ministry informed of the financial condition of the corporation and of audit or financial review results. In conjunction with other Mages or officers, the Treasurer shall oversee budget preparation and shall ensure that appropriate financial reports, including an account of major transactions and the financial condition of Spirit Night Coven, are made available to the Ministry of Magick on a timely basis or as may be required by the Ministry of Magick or the Arch-Priest(ess). The Treasurer may appoint, with approval of the Ministry a qualified fiscal agent or member of the staff to assist in performance of all or part of the duties of the treasurer.

 

7.08 Mage Officers

 

The Ministry of Magick may designate additional officer positions of Spirit Night Coven and may appoint and assign duties to other Mage officers of Spirit Night Coven.

 

 

 

 

ARTICLE VIII, CONTRACTS, CHECKS, LOANS,

INDEMNIFICATION AND RELATED MATTERS

 

8.01 Contracts and other Writings

 

Except as otherwise provided by resolution of the council or council policy, all contracts, deeds, leases, mortgages, grants, and other agreements of Spirit Night Coven shall be executed on its behalf by the treasurer or other persons to whom Spirit Night Coven has delegated authority to execute such documents in accordance with policies approved by the Ministry.

 

8.02 Checks, Drafts

 

All checks, drafts, or other orders for payment of money, notes, or other evidence of indebtedness issued in the name of Spirit Night Coven, shall be signed by such officer or officers, agent or agents, of the corporation and in such manner as shall from time to time be determined by resolution of the Ministry.

 

8.03 Deposits

 

All funds of Spirit Night Coven not otherwise employed shall be deposited from time to time to the credit of Spirit Night Coven in such banks, trust companies, or other depository as the Ministry or a designated committee of the Ministry may select. Currently this said banking institution remains to be a Paypal account (@spiritnightcoven).

 

8.04 Loans

 

No loans shall be contracted on behalf of Spirit Night Coven and no evidence of indebtedness shall be issued in its name unless authorized by resolution of the Ministry. Such authority may be general or confined to specific instances.

 

8.05 Indemnification

 

(a) Mandatory Indemnification. Spirit Night Coven shall indemnify a Mage or former Mage, who was wholly successful, on the merits or otherwise, in the defense of any proceeding to which he or she was a party because he or she is or was a director of Spirit Night Coven against reasonable expenses incurred by him or her in connection with the proceedings.

 

(b) Permissible Indemnification. Spirit Night Coven shall indemnify a Mage or former Mage made a party to a proceeding because he or she is or was a Mage of Spirit Night Coven, against liability incurred in the proceeding, if the determination to indemnify him or her has been made in the manner prescribed by the law and payment has been authorized in the manner prescribed by law.

 

(c) Advance for Expenses. Expenses incurred in defending a civil or criminal action, suit or proceeding may be paid by Spirit Night Coven in advance of the final disposition of such action, suit or proceeding, as authorized by the Ministry of Magick in the specific case, upon receipt of (I) a written affirmation from the Mage, officer, employee or agent of his or her good faith belief that he or she is entitled to indemnification as authorized in this article, and (II) an undertaking by or on behalf of the Mage, officer, employee or agent to repay such amount, unless it shall ultimately be determined that he or she is entitled to be indemnified by Spirit Night Coven in these Bylaws.

 

(d) Indemnification of Officers, Agents and Employees. An officer of Spirit Night Coven who is not a Mage is entitled to mandatory indemnification under this article to the same extent as a Mage. Spirit Night Coven may also indemnify and advance expenses to an employee or agent of Spirit Night Coven who is not a Mage, consistent with Washington Law and public policy, provided that such indemnification, and the scope of such indemnification, is set forth by the general or specific action of the council or by contract.

 

 

ARTICLE IX, BOOKS AND RECORDS, FISCAL YEAR, CONFLICT OF INTEREST, NONDISCRIMINATION, ZERO TOLERANCE OF SEXUAL VIOLENCE POLICY AND MANDATED REPORTING POLICY, CAUSE FOR MANDATORY BACKGROUND CHECK, BYLAW AMENDMENTS

 

9.01 Books and Records

 

Spirit Night Coven shall keep correct and complete books and records of account and shall keep minutes of the proceedings of all meetings of its Ministry of Magick, a record of all actions taken by the Ministry without a meeting, and a record of all actions taken by committees of the council. In addition, the corporation shall keep a copy of Spirit Night Coven's Articles of Incorporation and Bylaws as amended to date.

 

9.02 Fiscal Year

 

The fiscal year of Spirit Night Coven shall be from January 1 to December 31 of each year.

 

9.03 Conflict of Interest

 

The Ministry shall adopt and periodically review a conflict of interest policy to protect Spirit Night Coven's interest when it is contemplating any transaction or arrangement which may benefit any mMge, officer, employee, affiliate, or member of a committee with board-delegated powers. 

 

9.04 Nondiscrimination Policy

 

The officers, Mages, committee members, employees, and persons served by Spirit Night Coven shall be selected entirely on a nondiscriminatory basis with respect to age, sex, race, religion, national origin, and sexual orientation. It is the policy of Spirit Night Coven not to discriminate on the basis of race, creed, ancestry, marital status, sexual orientation, age, physical disability, veteran's status, political service or affiliation, color, religion, or national origin.

 

9.05 Zero Tolerance of Sexual Violence Policy and Mandated Reporting Policy

 

The officers, Mages, committee members, employees, members, Witches, and persons served by or affiliated with Spirit Night Coven shall adhere to a zero tolerance of sexual violence policy to include a zero tolerance policy of rape, sexual misconduct, molestation, soliciting sexual favors physically, emotionally, or virtually, displaying acts of sexual violence as defined by Washington State Law, sexual harassment or any other methods of sexual violence. Such persons associated with, affiliated with, or a member of Spirit Night Coven who violate this policy will be excommunicated immediately and such acts will be reported to appropriate entities such as Law Enforcement, Child Protective Services, and/or Adult Protective Services depending on the case. All persons serving in the Ministry of Magick accept to be legally recognized as Mandated Reporters per Washington State Law and follow Mandated Reporting Laws per Washington State Mandated Reporting Laws.

 

9.06 Mandatory Background Checks

 

The officers, Mages, committee members, employees, Witches, and persons served by or affiliated with Spirit Night Coven shall pay for, consent to, AND submit to a mandatory background check AND disclose any offenses to the Ministry of Magick before and during their services on the Ministry of Magick. No officers, Mages, committee members, employees, Witches, who do not consent to or successfully pass a background check may be affiliated with or serve in office with Spirit Night Coven. Refusal to do so or negative background check results will result in excommunication from Spirit Night Coven.

 

 

9.07 Bylaw Amendment

 

These Bylaws may be amended, altered, repealed, or restated by a vote of the majority of the Ministry of Magick then in office at a meeting of the Ministry, provided, however,

 

(a) that no amendment shall be made to these Bylaws which would cause the corporation to cease to qualify as an exempt corporation under Section 501 (c)(3) of the Internal Revenue Code of 1986, or the corresponding section of any future Federal tax code; and;

 

(b) that an amendment does not affect the voting rights of Mages. An amendment that does affect the voting rights of Mages further requires ratification by a 40%-60% majority vote of a quorum of Mages at a Ministry meeting.

 

(c) that all amendments be consistent with the Articles of Incorporation.

 

ARTICLE X, COUNTERTERRORISM AND DUE DILIGENCE POLICY

 

In furtherance of its exemption by contributions to other organizations, domestic or foreign, Spirit Night Coven shall stipulate how the funds will be used and shall require the recipient to provide the corporation with detailed records and financial proof of how the funds were utilized.

 

Although adherence and compliance with the US Department of the Treasury's publications the "Voluntary Best Practice for US. Based Charities" is not mandatory, Spirit Night Coven willfully and voluntarily recognizes and puts to practice these guidelines and suggestions to reduce, develop, re-evaluate and strengthen a risk-based approach to guard against the threat of diversion of charitable funds or exploitation of charitable activity by terrorist organizations and their support networks.

 

Spirit Night Coven shall also comply and put into practice the federal guidelines, suggestion, laws and limitation set forth by pre-existing U.S. legal requirements related to combating terrorist financing, which include, but are not limited to, various sanctions programs administered by the Office of Foreign Assets Control (OFAC) in regard to its foreign activities.

 

ARTICLE XI, DOCUMENT RETENTION POLICY

 

11.01 Purpose

 

The purpose of this document retention policy is establishing standards for document integrity, retention, and destruction and to promote the proper treatment of Spirit Night Coven's records.

 

11.02 Policy

 

Section 1. General Guidelines. Records should not be kept if they are no longer needed for the operation of the business or required by law. Unnecessary records should be eliminated from the files. The cost of maintaining records is an expense which can grow unreasonably                             if good housekeeping is not performed. A mass of records also makes it more difficult to find pertinent records.

            

                        From time to time, Spirit Night Coven may establish retention or                             destruction policies or schedules for specific categories of records in order to ensure legal compliance, and also to accomplish other objectives, such as preserving intellectual property and cost management. Several categories of documents that warrant special consideration are identified below. While minimum retention periods are established, the retention of the documents identified below and of   documents not included in the identified categories should be determined primarily by the application of the general                            guidelines affecting document retention, as well as the exception for litigation relevant documents and any other pertinent factors.

 

Section 2. Exception for Litigation Relevant Documents. Spirit Night Coven expects all officers, Mages, and employees to comply fully with any published records retention or destruction policies and schedules, provided that all officers, mages, and employees should note the following general exception to any stated destruction schedule: If you believe, or Spirit Night Coven informs you, that corporate records are relevant to litigation, or potential litigation (i.e. a dispute that could result in litigation), then you must preserve those records until it is determined that the records are no longer needed. That exception supersedes any previously or subsequently established destruction schedule for those records.

 

Section 3. Minimum Retention Periods for Specific Categories.

                        (a) Corporate Documents. Corporate records include Spirit Night Coven's Articles of Incorporation, By-Laws and IRS Form 1023 and Application for Exemption. Corporate records should be retained permanently. IRS regulations require that the Form 1023 be available for public inspection upon request.

 

                        (b) Tax Records. Tax records include, but may not be limited to, documents concerning payroll, expenses, proof of contributions made by donors, accounting procedures, and other documents concerning Spirit Night Coven's revenues. Tax records should be retained for at least seven (7) years from the date of filing the applicable return.

 

                        (c) Employment Records/Personnel Records. State and federal statutes require Spirit Night Coven to keep certain recruitment, employment and personnel information. Spirit Night Coven should also keep personnel files that reflect performance                                   reviews and any complaints brought against the corporation or individual employees under applicable state and federal statutes. Spirit Night Coven should also keep in the employee's personnel file all final memoranda and correspondence reflecting performance reviews and actions taken by or against personnel. Employment applications should be retained for three (3) years. Retirement and pension records should be kept permanently. Other employment and personnel records should be retained for seven (7) years.

 

                        (d) Board and Board Committee Materials. Meeting minutes                                   should be retained in perpetuity in Spirit Night Coven's minute                          book. A clean copy of all other Council and Council Committee                                materials should be kept for no less than three (3) years by                                              the corporation.

 

                        (e) Press Releases/Public Filings. Spirit Night Coven should                          retain   permanent copies of all press releases and publicly filed                                 documents under the theory that Spirit Night Coven should have its                       own copy to test the accuracy of any document a member of the                                public can theoretically produce against Spirit Night Coven.

 

                        (f) Legal Files. Legal counsel should be consulted to determine the              retention period of particular documents, but legal documents                                  should generally be maintained for a period of ten (10) years.

 

                        (g) Marketing and Sales Documents. Spirit Night Coven                                should keep final copies of marketing and sales documents for the                              same period of time it keeps other corporate files, generally three                          (3) years. An exception to the three-year policy may be sales                                            invoices, contracts, leases, licenses, and        other legal documentation.                      These documents should be kept for at least three years beyond the                                  life of the agreement.

 

                        (h) Development/Intellectual Property and Trade Secrets.                           Development documents are often subject to intellectual property                           protection in their final form (e.g., patents and copyrights). The                              documents detailing the development process are often also of                         value to Spirit Night Coven and are protected as a trade secret                                where Spirit Night Coven:

                                    (i) derives independent economic value from the secrecy of                                                the information; and

                                    (ii) has taken affirmative steps to keep the information                                            confidential.

 

                        Spirit Night Coven should keep all documents designated as                                                containing trade secret information for at least the life of the trade                           secret.

 

                        (i) Contracts. Final, execution copies of all contracts entered into                            by Spirit Night Coven should be retained. Spirit Night Coven should                   retain copies of the final contracts for at least three (3) years beyond                      the life of the agreement, and longer in the case of publicly filed                            contracts.

 

                        (j) Correspondence. Unless correspondence fails under another                              category listed elsewhere in this policy, correspondence should                                  generally be saved for two years.

 

                        (k) Banking and Accounting. Accounts payable ledgers and                          schedules should be kept for seven (7) years. Bank reconciliations,                           bank statements, deposit slips and checks (unless for important                              payments and purchases) should be kept for three (3) years. Any                            inventories of products, materials, and supplies and any invoices                             should be kept for seven (7) years.

 

                        (l) Insurance. Expired insurance policies, insurance records,                         accident reports, claims, etc. should be kept permanently.

 

                        (m) Audit Records. External audit reports should be kept                                         permanently. Internal audit reports should be kept for three (3)                            years.

 

Section 4. Electronic Mail. E-mail that needs to be saved should either:

                        (i) printed in hard copy and kept in the appropriate file; or

 

                        (ii) downloaded to a computer file and kept electronically or on disk                       as a separate file. The retention period depends upon the subject                              matter of the e-mail, as covered elsewhere in this policy.

 

 

ARTICLE XII, TRANSPARENCY AND ACCOUNTABILITY, DISCLOSURE OF FINANCIAL INFORMATION WITH THE GENERAL PUBLIC

 

12.01 Purpose

 

By making full and accurate information about its mission, activities, finances, and governance publicly available, Spirit Night Coven practices and encourages transparency and accountability to the general public. This policy will:  

 

            (i) indicate which documents and materials produced by Spirit Night Coven are      presumptively open to staff and/or the public; and

 

            (ii) indicate which documents and materials produced by Spirit Night Coven are     presumptively closed to staff and/or the public; and

 

            (iii) specify the procedures whereby the open/closed status of documents and       materials can be altered.

 

The details of this policy are as follow:

 

(a) Financial and IRS Documents (form 1023 and form 990). Spirit Night Coven shall provide its Internal Revenue forms 990, 990-T, 1023 and 5227, bylaws, conflict of interest policy, and financial statements to the general public for inspection free of charge.

 

(b) Means and Condition of Disclosure. Spirit Night Coven shall make "Widely Available" the aforementioned documents on its internet website: (does not exist yet) to be viewed and inspected by the general public.

 

            (i) The documents shall be posted in a format that allows an individual       using the Internet to access, download, view and print them in a manner       that exactly reproduces the image of the original document filed with the IRS (except information exempt from public disclosure requirements,                      such as contributor     lists).

 

            (ii) The website shall clearly inform readers that the document is available and provide instructions for downloading it.

 

            (iii) Spirit Night Coven shall not charge a fee for downloading the    information.    Documents shall not be posted in a format that would require special computer hardware or software (other than software          readily available to the public free of charge).

 

            (iv) Spirit Night Coven shall inform anyone requesting the information        where this information can be found, including the web address. This   information must be provided immediately for in-person requests and       within 7 days for mailed requests.

 

 

12.02 IRS Annual Information Returns (Form 990)

 

Spirit Night Coven shall submit the Form 990 to its Council of Magick prior to the filing of the Form 990. While neither the approval of the Form 990 or a review of the 990 is required under Federal law, Spirit Night Coven's Form 990 shall be submitted to each member of the Council of Magick's via (hard copy or email) at least ten (10) days before the Form 990 is filed with the IRS.

 

12.03 Ministry

 

All Ministry deliberations shall be open to the public except where the Ministry passes a motion to make any specific portion confidential. All Ministry minutes shall be open to the public once accepted by the Ministry, except where the Ministry passes a motion to make any specific portion confidential. All papers and materials considered by the Ministry shall be open to the public following the meeting at which they are considered, except where the Ministry passes a motion to make any specific paper or material confidential.

 

12.04 Staff Records

 

All staff records shall be available for consultation by the staff member concerned or by their legal representatives. No staff records shall be made available to any person outside Spirit Night Coven except the authorized governmental agencies. Within Spirit Night Coven, staff records shall be made available only to those persons with managerial or personnel responsibilities for that staff member, except that staff records shall be made available to the board when requested.

 

12.05 Donor Records

 

All donor records shall be available for consultation by the members and donors concerned or by their legal representatives. No donor records shall be made available to any other person outside Spirit Night Coven except the authorized governmental agencies. Within Spirit Night Coven, donor records shall be made available only to those persons with managerial or personnel responsibilities for dealing with those donors, except that donor records shall be made available to the board when requested.

 

 

ARTICLE XIII, CODES OF ETHICS AND WHISTLEBLOWER POLICY

13.01 Purpose

 

Spirit Night Coven requires and encourages mages, officers, and employees to observe and practice high standards of business and personal ethics in the conduct of their duties and responsibilities. The employees and representative of the corporation must practice honesty and integrity in fulfilling their responsibilities and comply with all applicable laws and regulations. It is the intent of Spirit Night Coven to adhere to all laws and regulations that apply to Spirit Night Coven and the underlying purpose of this policy is to support Spirit Night Coven's goal of legal compliance. The support of all corporate staff is necessary to achieving compliance with various laws and regulations.

 

13.02 Reporting Violations

 

If any Mage, officer, staff or employee reasonably believes that some policy, practice, or activity of Spirit Night Coven is in violation of law, a written complaint must be filed by that person with the Arch-Priest(ess) or the Demi-Priest(ess).

 

13.03 Acting in Good Faith

 

Anyone filing a complaint concerning a violation or suspected violation must be acting in good faith and have reasonable grounds for believing the information disclosed indicates a violation. Any allegations that prove not to be substantiated and which prove to have been made maliciously or knowingly to be false shall be subject to civil and criminal review.

 

13.04 Retaliation

 

Said person is protected from retaliation only if she/he brings the alleged unlawful activity, policy, or practice to the attention of Spirit Night Coven and provides Spirit Night Coven with a reasonable opportunity to investigate and correct the alleged unlawful activity. The protection described below is only available to the individuals that comply with this requirement.

 

Spirit Night Coven shall not retaliate against any Mage, officer, staff or employee who in good faith, has made a protest or raised a complaint against some practice of Spirit Night Coven or of another individual or entity with whom has a business relationship, on the basis of a reasonable belief that the practice is in violation of law, or a clear mandate of public policy.

 

Spirit Night Coven shall not retaliate against any mage, officer, staff or employee who disclose or threaten to disclose to a supervisor or a public body, any activity, policy, or practice of Spirit Night Coven that the individual reasonably believes is in violation of a law, or a rule, or regulation mandated pursuant to law or is in violation of a clear mandate of public policy concerning the health, safety, welfare, or protection of the environment.

 

13.05 Confidentiality

 

Violations or suspected violations may be submitted on a confidential basis by the complainant or may be submitted anonymously. Reports of violations or suspected violations shall be kept confidential to the extent possible, consistent with the need to conduct and adequate investigation.

 

13.06 Handling of Reported Violations

 

The Arch-Priest(ess) or Demi-Priest(ess) shall notify the sender and acknowledge receipt of the reported violation or suspected violation within five (5) business days. All reports shall be promptly investigated by the Ministry and its appointed committee and appropriate corrective action shall be taken if warranted by the investigation.

 

This policy shall be made available to all Mages, officers, staffs or employees and they shall have the opportunity to ask questions about the policy.

  

ARTICLE XIV, AMENDMENTS OF ARTICLES OF INCORPORATION

 

14.01 Amendment

 

Any amendment to the Articles of Incorporation may be adopted by approval of 40%-60% majority vote of the Ministry of Magick with the approval of the High Priestess and High Priest.

 

EXHIBIT A, PRINCIPLES OF BELIEFS BY AMERICAN COUNCIL OF WITCHES

 

PRINCIPLES OF BELIEFS by American Council of Witches

Also known as the Thirteen Principles of Wiccan Belief or The 13 Principles of Belief.

  1. We practice rites to attune ourselves with the natural rhythm of life forces marked by the phases of the Moon and the seasonal Quarters and Cross Quarters.

  2. We recognize that our intelligence gives us a unique responsibility toward our environment. We seek to live in harmony with Nature, in ecological balance offering fulfillment to life and consciousness within an evolutionary concept.

  3. We acknowledge a depth of power far greater than that apparent to the average person. Because it is far greater than ordinary it is sometimes called "supernatural", but we see it as lying within that which is naturally potential to all.

  4. We conceive of the Creative Power in the universe as manifesting through polarity-as masculine and feminine-and that this same Creative Power lies in all people, and functions through the interaction of the masculine and feminine. We value neither (gender) above the other, knowing each to be supportive to the other. We value sex as pleasure, as the symbol and embodiment of life, and as one of the sources of energies used in magickal practice and religious worship.

  5. We recognize both outer worlds and inner, of psychological, worlds sometimes known as the Spiritual World, the Collective Unconscious, Inner Planes, etc.-and we see in the inter-action of these two dimensions the basis for paranormal phenomena and magickal exercises. We neglect neither dimension for the other, seeing both as necessary for our fulfillment.

  6. We do not recognize any authoritarian hierarchy, but do honor those who teach, respect those who share their greater knowledge and wisdom, and acknowledge those who have courageously given of themselves in leadership.

  7. We see religion, magick and wisdom in living as being united in the way one views the world and lives within it-a world view and philosophy of life which we identify as Witchcraft-the Wiccan Way.

  8. Calling oneself "Witch" does not make a Witch-but neither does heredity itself, nor the collecting of titles, degrees and initiations. A Witch seeks to control the forces within her/himself that make life possible in order to live wisely and will without harm to other and in harmony with Nature.

  9. We believe in the affirmation and fulfillment of life in a continuation of evolution and development of consciousness giving meaning to the Universe we know and our personal role within it.

  10. Our only animosity towards Christianity, or toward any other religion or philosophy of life, is to the extent that its institutions have claimed to be "the only way" and have sought to deny freedom to others and to suppress other ways of religious practice and belief.

  11. As American Witches, we are not threatened by debates on the history of the Craft, the origins of various terms, the legitimacy of various aspects of different traditions. We are concerned with our present and our future.

  12. We do not accept the concept of absolute evil, nor do we worship any entity known as "Satan" or "the Devil", as defined by Christian tradition. We do not seek power through the suffering of others, nor accept that personal benefit can be derived only by denial to another.

  13. We believe that we should seek within Nature that which is contributory to our health and well-being.

Spirit Night Coven Guidelines and Principles

 

(a) To follow with Wiccan Rede: An it harm none, do what ye will;

(b) To acknowledge the cycles of the moon;

Covenship is for those who want to follow the spiritual path of Wicca and Witchcraft with the guidance of a High Priestess + Priest and the social aspect and support from a coven. Covenship is a year and a day process that will require independent studying, attendance to Sabbats and Esbats, and acquiring your own reading materials and tools. You must adhere to Spirit Night Coven’s guidelines and principles for the duration of Covenship. Failure to comply will result in revocation of Covenship. At the end of your basic training (a year and a day after being admitted), you have the option to be fully initiated into Spirit Night Coven, and therefore become a First Degree Witch. At this point in time you will have your own duties and responsibilities that the High Priestess and Priest will explain to you.
